Terms of Service

These terms are the agreement between you and Ego Labs, Inc., a Delaware corporation (“we”), covering Raincheck at rainier.tbd.trade and everything on it. By using the site or connecting an accounting system to it, you accept them. If you are accepting on behalf of a company, you confirm you are authorized to bind that company.

1. What Raincheck is — and what it is not

Raincheck estimates how rainfall has affected a business’s revenue, by comparing accounting data you provide against historical weather observations.

It is a demonstration and analysis tool. Nothing on this site is an offer or solicitation to sell insurance, a security, a swap, a derivative, or any other financial product, and nothing here is financial, investment, legal, accounting, or tax advice. No contract of insurance or coverage of any kind is created by using it. Any figures describing premiums, payouts, or protected revenue are illustrative only.

Estimates are produced from historical weather records and your own accounting data using modelling assumptions that may not hold for your business. Past weather does not predict future weather. Do not make financial decisions in reliance on these outputs.

2. Your licence to use it

We grant you a limited, revocable, non-exclusive, non-transferable right to access Raincheck for your own internal business evaluation. We reserve every right not expressly granted. You may not sublicense, resell, or make the service available to third parties.

3. Connecting your accounting system

If you connect QuickBooks Online, you confirm that you are authorized to grant access to that company file and to share its data with us. Your use of QuickBooks remains governed by your agreement with Intuit; nothing here modifies it. You may disconnect at any time, from this site or from your Intuit account.

4. Things you agree not to do

  • connect a company file you are not authorized to access
  • reverse engineer, decompile, or attempt to derive our source code or models
  • scrape, bulk-download, or systematically extract content or data
  • circumvent rate limits, authentication, or any other technical control
  • submit unlawful, infringing, or deliberately false information
  • use the service to build a competing product
  • interfere with the operation, integrity, or security of the service

5. Your data stays yours

You retain all ownership of the data you provide or authorize us to read. You grant us a limited licence to process it solely to operate the service and produce your results, as described in the Privacy Policy. We may use aggregated, de-identified information — figures that cannot reasonably identify you or your business — to improve the service.

6. Availability

Raincheck is offered as an evolving product. We may change, suspend, or discontinue any part of it at any time, and we do not guarantee uninterrupted or error-free operation.

7. No warranties

The service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory — including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that any estimate, projection, or figure produced by the service is accurate, complete, or suitable for any purpose.

8. Limitation of liability

To the maximum extent permitted by law, neither Ego Labs, Inc. nor its officers, employees, or suppliers is liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost business, or lost or corrupted data, arising out of or relating to your use of the service — whether or not we were advised such damages were possible.

Our total aggregate liability arising out of or relating to these terms will not exceed one hundred United States dollars (US$100).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot lawfully be limited.

9. Indemnity

You agree to indemnify and hold Ego Labs, Inc. harmless from any claim, loss, or expense (including reasonable legal fees) arising from your misuse of the service, your breach of these terms, or your connection of a company file you were not authorized to access.

10. Termination

You may stop using the service and disconnect at any time. We may suspend or terminate access if you breach these terms or if we discontinue the service. Sections 5 through 9 and 11 survive termination.

11. Changes to these terms

We may update these terms. If we do, we will change the effective date above, and material changes will be notified to waitlist members by email. Continuing to use the service after a change means you accept the revised terms.

12. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. The courts of the State of New York have exclusive jurisdiction over any dispute, and you consent to that venue.

13. General

These terms and the Privacy Policy are the entire agreement between us on this subject. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
